Tree Roots Suffocating Grass

We have a small lawn that has two very mature trees. The roots of the trees are sucking the life out of the grass. We have tree roots exposed, losing grass, and the lawn is bumpy and lumpy. What can we do to have grass and trees? One suggestion was to put sand with a mixture of topsoil so the centepede grass can crawl over the sand mixture. What do you suggest?
